Assignment

Buy-side financial due diligence (FDD) on behalf of a pan-Arab healthcare services group that was seeking to grow through acquisitions. The Target was an assortment of healthcare delivery assets comprising a hospital, clinics and pharmacies.

Approach

Business Benefits

1. Our approach to the FDD exercise was risk-based and was focused on determining the Target’s sustainable earnings.
2. The data collection phase was challenging, requiring intensive follow-ups over several weeks, more so due to the absence of a data room.
3. We alerted the client to major items in a “red flags” report early in our FDD process. Further, our periodic updates to the client helped keep engagement levels high at on the part of both the principals.
4. Our final FDD report clearly outlined all the risks related to the acquisition and suggested measures to avoid/transfer/negotiate/mitigate these risks.

Based on our report and findings, our client was able to evaluate their acquisition decision and to take a definitive decision on whether to proceed with the acquisition and on what terms.
